Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StockByte LLC ("StockByte," "we," "our," or "us") governing your use of the StockByte website at stockbyte.io and the StockByte dashboard at dashboard.stockbyte.io (collectively, the "Services").

By creating an account, accessing, or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.

StockByte is a resale management platform that enables users to:

• Cross-list products across multiple resale platforms (including StockX, Goat, Poizon, and others)
• Manage inventory across multiple listings and warehouse locations
• Automate pricing adjustments based on market conditions
• Access sales analytics and performance reporting
• Access and play the StockByte TikTok Mini Game, an interactive gameplay experience available within the TikTok platform
• Connect third-party platform accounts via API integration

StockByte reserves the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice.

To use StockByte, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable law
• Agree to these Terms on behalf of yourself or the entity you represent

If you are using StockByte on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

You must create an account to access most features of the Services. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your login credentials confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activity that occurs under your account

You may not share your account with others or create multiple accounts for the purpose of circumventing plan limits or restrictions.

StockByte offers subscription plans as described on our pricing page. By subscribing, you agree to the following:

• Billing: Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected.
• Renewal: Subscriptions automatically renew unless you cancel before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.
• Refunds: Payments are generally non-refundable except where required by applicable law.
• Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance.
• Taxes: You are responsible for any applicable taxes related to your subscription.

You agree not to use StockByte to:

• Violate any applicable law, regulation, or third-party platform's terms of service
• List counterfeit, stolen, or fraudulent products on any platform
• Engage in market manipulation, price fixing, or other anticompetitive conduct
• Attempt to reverse-engineer, scrape, or extract data from the platform in an unauthorized manner
• Interfere with or disrupt the integrity or performance of our Services
• Circumvent any access controls or security measures
• Use automated scripts or bots against our Services beyond what we explicitly permit
• Upload or transmit malicious code or content

Violation of these restrictions may result in immediate account termination without refund.

StockByte connects to third-party platforms (including StockX, Goat, Poizon, TikTok, and others) on your behalf using credentials and API access you provide. This includes both our cross-listing integration and our TikTok Mini Game, which accesses basic TikTok account information to enable gameplay features. By connecting a third-party account, you:

• Authorize StockByte to access and act on your behalf within those platforms as permitted by their APIs
• Confirm that you have the right to grant such access
• Agree to comply with each platform's terms of service independently

You are solely responsible for ensuring your use of StockByte complies with each connected platform's terms and policies.

All intellectual property in the StockByte platform — including software, designs, logos, trademarks, and content — is owned by or licensed to StockByte LLC. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your business purposes in accordance with these Terms.

You may not copy, reproduce, distribute, modify, or create derivative works of any StockByte content without our written permission.

You retain ownership of all content and data you upload to StockByte, including product listings, inventory data, and connected account information. By using our Services, you grant StockByte a limited license to process, store, and use your data solely to provide the Services.

You represent and warrant that you have the right to upload any content you provide and that such content does not violate any third-party rights or applicable law.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, STOCKBYTE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee that listings made through our platform will result in sales on any third-party platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOCKBYTE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO STOCKBYTE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless StockByte LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights or platform policies
• Content or data you submit to the Services

Either party may terminate the agreement at any time. You may terminate by canceling your subscription and closing your account. StockByte may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use policy
• We are required to do so by law or platform requirements
• We discontinue the Services

Upon termination, your right to access the Services immediately ceases. We will handle your data in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles.

Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association.

For EU users: Nothing in these Terms affects your rights under EU consumer protection law, including your right to bring claims before courts in your country of residence.

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on our platform at least 14 days before the changes take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
